Welcome to Ooulet! These Terms and Conditions outline the rules and regulations for using our application and services. By accessing or using Ooulet, you agree to abide by these terms. Please read them carefully.

These terms and conditions ("Terms") and the Privacy Policy (collectively "User Agreement") forms an electronic record in terms of Information Technology Act, 2000 ("IT Act") and rules made there under, as applicable, and the amended provisions pertaining to electronic records in various statutes, as amended from time to time.

This User Agreement is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011 that require publishing the rules and regulations, Privacy Policy and Terms and Conditions for access or usage of the website ooulet.com (including the uniform resource locator created for each Merchant) ("Website"), the mobile application available on Play Store and app store- Ooulet i.e. ("App") and the uniform resource locator created for each Merchant (the 'Website', the 'App' is collectively hereinafter referred to as the "Platform"), operated by Ooulet Technology Pvt. Ltd. , a company incorporated under the Companies Act, 2013 (18 of 2013) and its registered office at 2nd Floor, Elegant Tower, Near kajaria Showroom, Delhi Road, Roorkee, Uttarakhand - 247667.

  1. Acceptance of Terms
    1. By downloading, installing, or using the Ooulet App, you agree to be bound by these Terms and Conditions, our Privacy Policy, and any other guidelines, policies, or rules provided by Ooulet Technology Pvt. Ltd. If you do not agree with any of these terms, you must not use the app.
  2. Description of Service
    1. Ooulet is a platform that allows users to create, manage, and operate their eCommerce websites and stores. We provide tools for designing and managing online shops, as well as additional services for marketing, payment processing, and analytics.
  3. Account Registration
      1. Eligibility:
        1. You must be at least 18 years old to register an account and use Ooulet.
      2. Accuracy of Information:
        1. You agree to provide accurate, complete, and current information during the registration process and to keep your account information up to date.
      3. Security of Account:
        1. You are responsible for maintaining the condentiality of your account credentials and for any activity that occurs under your account. Ooulet is not liable for any losses caused by unauthorized use of your account.
  4. Subscription Plans and Fees
    1. Ooulet offers various subscription plans, including monthly, quarterly, and yearly plans. Subscription fees are charged according to the selected plan and features
      1. Platform Fee:
        1. A platform fee of 2.99% may apply to Free Plan and 1.99% on monthly and quarterly plans. No platform fee applies to the yearly plans.
      2. Payment Terms:
        1. Payments are billed in advance and are non-refundable, except as stated in our Refund Policy.
      3. Changes to Fees:
        1. Ooulet Technology Pvt. Ltd. reserves the right to change subscription fees or pricing models, and will provide notice in advance of any fee changes.
  5. User Conduct
    1. You agree not to use Ooulet for any unlawful, harmful, or prohibited purposes, including but not limited to:
      1. Violating any applicable laws or regulations.
      2. Posting or transmitting any fraudulent, offensive, defamatory, illegal content or Banned Products.
      3. Engaging in fraudulent activities, including impersonating others or misrepresenting your business.
      4. Uploading harmful software, such as viruses or malware, to the platform.
      5. Misusing system resources, such as excessive storage, bandwidth, or server capacity, in a way that impacts other users
  6. Intellectual Property
      1. Ooulet's Content:
        1. All content, trademarks, logos, designs, and software on Ooulet are the intellectual property of Ooulet or its licensors and are protected by copyright, trademark, and other laws.
      2. User Content:
        1. By using Ooulet, you retain ownership of all content you upload or create on the platform (e.g., product images, descriptions). You grant Ooulet a non-exclusive, royalty-free license to use, display, and distribute your content solely for the purposes of providing and improving the service.
  7. Termination and Suspension
      1. Termination by You:
        1. You may terminate your account at any time. However, no refunds will be provided for unused portions of your subscription period.
      2. Termination by Ooulet:
        1. Ooulet reserves the right to suspend or terminate your account if you violate these Terms and Conditions, fail to comply with applicable laws, or engage in fraudulent or harmful activities.
      3. Effect of Termination:
        1. Upon termination, your account and any data, including store details, products, orders, and customer information, may be permanently deleted. It is your responsibility to back up your data before terminating your account.
  8. Refund Policy
    1. Refunds are not provided for any paid plans or services offered by Ooulet. By subscribing to any of Ooulet’s plans or services, you acknowledge and agree to the Refund Policy.
  9. Limitation of Liability
    1. Ooulet is provided on an 'as-is' basis without warranties of any kind. To the fullest extent permitted by law, Ooulet disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
      1. No Liability for Losses:
        1. Ooulet will not be held liable for any direct, indirect, incidental, or consequential damages arising from your use of the platform, including but not limited to loss of data, revenue, or business opportunities.
      2. No Responsibility for Third-Party Services:
        1. Ooulet may integrate with third-party services (e.g., payment processors, shipping carriers), but is not responsible for their availability, performance, or accuracy.
  10. Limitation of Liability
    1. Ooulet reserves the right to update or modify these Terms and Conditions at any time. Any changes will be communicated through the electronic channels, and your continued use of the platform after such changes will constitute your acceptance of the updated terms
  11. Governing Law
    1. These Terms and Conditions are governed by and construed in accordance with the laws of Ooulet Technology Pvt. Ltd., without regard to its conflict of law principles. Any disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the courts in Roorkee, Haridwar and You hereby submit to the jurisdiction of such courts.
